LEGAL REGULATION OF CORPORATE AGREEMENTS IN UKRAINE

Abstract

Problem setting. Problems of legal regulation of corporate governance in domestic business entity are most relevant in corporate law in Ukraine. Such issues relate to the definition of the rules for the organization of the business entity activity, which regulated by legal acts and charter until quite recently. Mentioned way of regulations was insufficient and showed the lack of discretionary regulation of corporate relations concerning with the management of the company. This led to the need for research and formalization of the institute of corporate agreement, as a mechanism for additional regulation of corporate relations.

Analysis of recent researches and publications. Significant scientific work in the study of the topic was introduced by V.A. Vasil'eva, V.V. Vasil'eva, I.V. Venediktova, O.M. Vinnik, Yu.M. Zhornokuy, I.V. Spasibo-Fateyeva, M.M. Sigidin, L. Tsischuk, V.I. Tsikalo, and others. However, the reform of corporate legislation and the institutionalization of a corporate agreement updates interest in the raised issue, expanding scientific researches in this field.

The purpose of the article. The purpose of this research is to outline the main stages of development of legal understanding of corporate agreements, as an effective tool for regulating corporate relations concerning with the management of a company.

Article's main body. The article is devoted to the issues of development of legal regulation of corporate agreements in Ukraine. The attention was paid to the development of the regulation of the institute of corporate contracts in the domestic legislation regulating the issues of the activity of business entities. The stages, which were experienced by legal regulation of corporate agreements during the independent Ukraine, were singled out. The prospects of formation of the mentioned institute in the domestic legal system and the doctrine of economic law are also outlined.

Conclusions and prospects for the development. The formalization of the institute of corporate contracts in Ukraine actualize legal research on this issue in the following areas: (a) establishing the legal nature of the corporate agreement and its place in the domestic contractual system; (b) determining the place of the corporate agreement in the system of regulation of corporate relations; (c) the legal characterization of the corporate agreement and others.
